Rosin Fine Wines is a UK based wine merchant established in January 2007 by Patrick Rosin,
with over 20 years industry experience.

TERMS & CONDITIONS

1. Definitions

a. “Buyer” – means the person who buys the goods from the seller
b. “Conditions” – means the terms & conditions of the sale set out in this document and any special terms & conditions agreed in writing by the seller.
c. “Goods” – means the article which the Buyer agrees to buy from the seller
d. “Price” – means the price for the goods
e. “Seller” – means ADP Wines Ltd T/A Rosin Fine Wines
f. “Sellers Quoted Price” – means the price referred to in the Seller’s brochure or any price substituted therefore at the time the order is accepted by the Seller.

2. Conditions Applicable

a. These conditions shall apply to all contracts for the Sale of Goods by the Seller to the Buyer to the exclusion of all other terms and conditions including any terms and conditions which the Buyer may purport to apply under any purchase order confirmation of order or similar document.
b. All order for goods shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these Conditions.
c. Acceptance of delivery of the Goods shall be deemed conclusive evidence of the Buyer’s acceptance of these Conditions.
d. Any variations of these Conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by the Seller.

3. The Price and Payment

a. The Price shall be the Seller’s Quoted Price. The Price is exclusive of VAT, which shall be due at the rate applicable on the date of the Seller’s invoice.
b. Payment is due on invoice, and may be made by bank transfer, UK cheque (allow 7 working days for cheques to clear). Approved trade accounts may pay by 30 day post dated cheque. Overdue sums carry interest from the date when payment becomes due at 5% per annum above the base rate of Barclays Bank plc from time to time. Until all sums due to us have been paid we shall be entitled to retain possession of any goods to which you would otherwise be entitled. If any payment is overdue we shall be entitled to suspend deliveries/collections.
c. All accounts must be settled within 30 days.


4. The Goods

The quantity and description of the Goods shall be as set out in the Seller’s quotation.

5. Warranties and Liability

The Seller warrants that the goods will at the time of delivery correspond to the description given by the Seller. Except where the Buyer is dealing as a consumer (as defined under the Unfair Contract Terms Act 1977 Section 12) all other warranties, conditions or terms relating to fitness of purpose, merchantability or condition of the Goods and whether implied by statute or common law or otherwise are excluded.

6. Delivery of the Goods

Orders received before 12 am will normally be delivered within 72 hours.

7. Acceptance of the Goods

a. The Buyer shall be deemed to have accepted Goods 72 hours after delivery to the Buyer.
b. After acceptance the Buyer shall not entitled to reject Goods which are not in accordance with the contract.

8. Title and Risk

a. Risk in Goods shall pass to the Buyer upon delivery by the Seller or its carriers to the Buyer and the Seller shall not be liable for any loss or damage to the Goods from the time that the Goods are so delivered.
b. Notwithstanding delivery, acceptance and passing of risk, title to any Goods to be sold to the Buyer shall not pass to the Buyer and shall be retained by the Seller until full payment of all monies due on any account has been received by the Seller from the Buyer.
c. Until such time as title in Goods has passed to the Buyer,
d. The Buyer shall, subject to the Seller’s rights hereunder:
1) Hold the Goods as the Seller’s fiduciary agent but shall not sell, charge or part with possession thereof;
2) Store the Goods separately from any goods belonging to the Buyer or any third party, and keep the Goods clearly marked and identifiable as being the property of the Seller;
3) Keep the Goods clearly marked and identifiable as being the property of the seller;
4) Insure such Goods to their replacement value naming the Seller as the loss payee until all payments to the Seller have been made and provide the Seller with a certificate of such insurance.
e. The Seller shall be entitled to enter the Buyer’s premises upon reasonable notice to verify the Buyer’s compliance with the preceding clause.

f. The Seller shall be entitled to repossess at any time any Goods in which title remains vested in the Seller and for this purpose at any time and without notice the Seller may enter upon any premises in which the Goods or any part thereof are installed, stored or kept, or are reasonably believed so to be;
g. The Seller shall be entitled to seek a court injunction or equivalent judicial order under the applicable law of this Agreement to prevent the Client from selling, transferring or otherwise disposing of the Goods.

9. Remedies of the Buyer

a. Where the Buyer rejects any Goods then the Buyer shall have no further rights whatever in respect of the supply to the Buyer of such Goods or the failure by the Seller to supply Goods which conform to the contract of sale.
b. Where the Buyer accepts or has been deemed to have accepted any Goods then the seller shall have no liability whatever in respect of those Goods.
c. The Seller shall not be liable to the Buyer for the late delivery or short delivery of the Goods.

10. Governing Law and Jurisdiction
All our contracts are made under English Law and are subject to the exclusive jurisdiction of the English Courts.

These are the terms applying to all sales and are the basis upon which orders are accepted. They will apply unless varied in writing to all future transactions.

Rosin Fine Wines focuses mainly in Bordeaux’ classified growths with top end Burgundies and a splattering of eclectic Rhône’s.

All listed wines are company stock and both quality and provenance are assured. The stock is stored at EHD Locke-King Vaults the new subterranean storage facility for fine and rare wines; with high security and ideal humidity.

Delivery is by EHD’s own van service.
